OVERVIEW

Welcome to Red 5 Garage.

These Terms of Service (“Terms”) govern your access to and use of the Red 5 Garage website, store, content, features, products, digital goods, tools, and services (collectively, the “Services”). Throughout these Terms, “Red 5 Garage,” “we,” “us,” and “our” refer to Red 5 Garage LLC.

Our store is hosted by Shopify, which provides the ecommerce platform that allows us to offer products and services to you.

By visiting, accessing, browsing, or using our Services, or by purchasing something from us, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or our Privacy Policy, do not access or use the Services.

SECTION 1 - ELIGIBILITY, ACCESS, AND ACCOUNTS

By using the Services, you represent that you are at least the age of majority in your state or province of residence, or that you are using the Services with the involvement and consent of a parent or legal guardian.

To access certain features or make purchases, you may be required to provide information such as your name, email address, billing information, shipping information, and payment details. You agree that all information you provide is accurate, current, complete, and authorized for use by you.

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You may not assign, transfer, sell, or otherwise share your account with another person.

We reserve the right to suspend or terminate accounts, refuse service, or cancel orders at our sole discretion, including where we suspect fraud, abuse, unauthorized activity, or a violation of these Terms.

SECTION 2 - PRODUCTS, SERVICES, AND AVAILABILITY

We make reasonable efforts to display product descriptions, specifications, images, colors, and other content accurately. However, product appearance may vary based on device settings, display configuration, photography, manufacturing variation, packaging updates, supplier changes, or normal production tolerances.

We do not guarantee that product images, finishes, colors, dimensions, or descriptions will match exactly what appears on your screen or fully meet your personal expectations.

All product descriptions, pricing, availability, and specifications are subject to change at any time without notice. We reserve the right to discontinue any product or service at any time and to limit quantities available for purchase.

Certain products may be offered in limited quantities, on a special-order basis, as build-to-order items, or through third-party suppliers. Availability is not guaranteed until your order has been accepted.

SECTION 3 - ORDERS, ACCEPTANCE, AND CANCELLATIONS

By placing an order, you are submitting an offer to purchase. Red 5 Garage reserves the right to accept, reject, limit, or cancel any order for any reason, including suspected fraud, pricing errors, product unavailability, supplier issues, shipping limitations, or suspected violation of these Terms.

Your order is not accepted until we confirm acceptance and process payment.

We may be unable to modify or cancel an order once it has been accepted, processed, submitted to a supplier, prepared for shipment, or shipped. Special-order, vendor-direct, build-to-order, digital, and custom items may not be canceled once the order has been placed.

If we cancel or materially change an order after payment has been received, we will generally issue a refund for the affected portion of the order.

All returns, exchanges, and refunds are governed solely by our Refund Policy.

You represent that your purchases are for your own lawful use and not for unauthorized resale, export, or distribution.

SECTION 4 - PRICING, PAYMENT, TAXES, AND BILLING

Prices, discounts, promotions, and product availability are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is submitted, unless there is an obvious pricing or listing error.

Unless otherwise expressly stated, prices do not include shipping, handling, sales tax, duties, customs fees, import charges, installation costs, tuning costs, or other third-party charges.

You agree to provide current, complete, and accurate billing, payment, shipping, and account information for all purchases made through the Services. You further agree to promptly update your information so we can complete your transactions and contact you if needed.

By submitting payment information, you represent and warrant that:

  1. the payment information is accurate and authorized,
  2. you are legally entitled to use the selected payment method,
  3. charges incurred by you will be honored by your payment provider, and
  4. you will pay all charges incurred by you, including shipping, taxes, and any other disclosed fees.

We reserve the right to refuse or cancel transactions that appear fraudulent, unauthorized, or inconsistent with normal customer activity.

SECTION 5 - SHIPPING, DELIVERY, TITLE, AND RISK OF LOSS

Shipping and delivery dates are estimates only and are not guaranteed. We are not liable for carrier delays, supply chain disruptions, weather events, customs delays, lost time, missed events, or other circumstances outside our reasonable control.

Unless otherwise required by law, title to products and risk of loss pass to you upon our delivery of the product to the shipping carrier.

You are responsible for providing a complete and accurate shipping address. We are not responsible for delays, losses, or delivery issues caused by incorrect address information provided by you.

If a package is returned to us because of an invalid address, refusal, failed delivery attempt, or failure to claim the shipment, additional shipping charges may apply.

SECTION 6 - AUTOMOTIVE PRODUCTS, FITMENT, INSTALLATION, TUNING, AND USE

Red 5 Garage sells products for automotive and enthusiast use. Many products sold through the Services may require mechanical knowledge, professional installation, tuning, calibration, fabrication, supporting modifications, or vehicle-specific adjustments.

You are solely responsible for verifying compatibility, fitment, legality, intended use, and suitability before purchase and installation. Unless Red 5 Garage expressly confirms fitment in writing for your exact vehicle, engine, chassis, trim level, configuration, and modification setup, we do not guarantee compatibility or fitment.

Modified vehicles, swapped vehicles, race vehicles, imported vehicles, and vehicles with non-stock combinations may require custom work and may not perform as expected.

You acknowledge and agree that:

  • improper installation, misuse, abuse, tuning error, racing conditions, off-road use, or use outside the intended application may result in product failure, vehicle damage, personal injury, emissions noncompliance, or other losses;
  • some products may be intended for off-road, racing, closed-course, competition, or motorsport use only;
  • it is your responsibility to determine whether a product is legal for street use or emissions-compliant in your location;
  • Red 5 Garage is not responsible for damage arising out of installation, tuning, calibration, fabrication, incompatibility, misuse, or operation of a product;
  • Red 5 Garage is not responsible for incidental losses such as labor charges, shop fees, dyno time, alignment costs, rental vehicle costs, towing, missed events, downtime, lost use, or engine, drivetrain, or vehicle failure.

Professional installation is strongly recommended where appropriate.

SECTION 7 - DIGITAL PRODUCTS, DOWNLOADS, AND NON-TANGIBLE GOODS

Certain products or services offered by Red 5 Garage may be digital or non-tangible, including but not limited to downloads, files, guides, tune-related content, or other electronically delivered materials.

All digital, downloadable, licensed, or non-tangible goods are provided subject to any product-specific terms listed on the applicable product page. Unless otherwise expressly stated, digital and non-tangible goods are non-refundable once delivered, accessed, downloaded, or transmitted.

You may not reproduce, distribute, resell, sublicense, publicly share, or commercially exploit digital products unless we expressly permit it in writing.

SECTION 8 - INTELLECTUAL PROPERTY

All content included in or made available through the Services, including but not limited to text, graphics, logos, icons, images, audio, video, downloads, product descriptions, branding, page layouts, documents, and software-related content, is owned by Red 5 Garage, its licensors, or its content suppliers and is protected by applicable intellectual property laws.

These Terms allow you to use the Services only for your personal, lawful, non-commercial use. You may not reproduce, copy, distribute, publish, modify, create derivative works from, republish, scrape, download, store, transmit, display, or exploit any part of the Services without our prior written consent.

Red 5 Garage names, logos, designs, marks, product names, and slogans are the property of Red 5 Garage or their respective owners. No right, title, or license is granted to you except as expressly stated in these Terms.

SECTION 9 - OPTIONAL TOOLS AND THIRD-PARTY SERVICES

We may provide access to third-party tools, applications, integrations, or links that we do not control.

These tools and third-party services are provided “as is” and “as available” without warranties, endorsements, or representations of any kind. We are not responsible for the content, functionality, terms, privacy practices, security, or performance of any third-party services.

Your use of third-party tools or websites is entirely at your own risk and subject to the third party’s own terms and policies.

SECTION 10 - SHOPIFY PLATFORM RELATIONSHIP

Our store is hosted by Shopify, but all sales and purchases made through this store are made directly with Red 5 Garage and not with Shopify.

To the fullest extent permitted by law, you acknowledge that Shopify is not responsible for any aspect of any sale, transaction, product, service, injury, damage, delay, loss, or dispute between you and Red 5 Garage arising from your use of the Services or your purchase of products or services through our store.

SECTION 11 - PRIVACY

Your submission of personal information through the Services is governed by our Privacy Policy.

Certain information may also be collected or processed by Shopify in connection with its operation of the ecommerce platform.

SECTION 12 - FEEDBACK, REVIEWS, AND SUBMISSIONS

If you submit or post reviews, suggestions, ideas, feedback, proposals, comments, messages, photos, or other content to us or through the Services (“Feedback”), you grant Red 5 Garage a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable right to use, reproduce, modify, publish, distribute, display, and otherwise use that Feedback in any medium and for any lawful purpose, including marketing, advertising, product development, and operation of the Services.

You represent and warrant that:

  • you own or control all rights in the Feedback,
  • your Feedback is accurate,
  • your Feedback does not violate any law or the rights of any third party, and
  • your Feedback does not contain unlawful, abusive, defamatory, obscene, infringing, or malicious material.

We may, but are not obligated to, monitor, remove, edit, or refuse any Feedback at our discretion.

SECTION 13 - ERRORS, INACCURACIES, AND OMISSIONS

Occasionally there may be information on the Services containing typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, availability, or other matters.

We reserve the right to correct any such errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information on the Services is inaccurate, at any time and without prior notice, including after you have submitted an order.

SECTION 14 - PROHIBITED USES

You may use the Services only for lawful purposes. You agree not to use the Services:

  • in violation of any law, regulation, or third-party right;
  • to submit false, misleading, or fraudulent information;
  • to infringe intellectual property rights;
  • to harass, abuse, threaten, defame, or harm others;
  • to upload or transmit viruses, malware, or harmful code;
  • to interfere with the security, integrity, or operation of the Services;
  • to scrape, extract, copy, or collect data from the Services without authorization;
  • to use bots, spiders, crawlers, agentic AI systems, automated scripts, or similar tools to access or interact with the Services in an unauthorized manner;
  • to bypass, probe, or circumvent any security features or access restrictions;
  • to impersonate another person or entity.

We reserve the right to suspend, restrict, or terminate access to the Services if we believe you have violated these Terms.

SECTION 15 - AGENT AND AUTOMATED ACCESS RESTRICTIONS

No automated system, bot, crawler, scraper, or agent may access or interact with the Services in a manner that disguises its automated nature, bypasses technical controls, overloads our infrastructure, or interferes with normal site operations.

We may use technical or contractual measures to block, limit, or control automated access to the Services at any time and for any reason.

SECTION 16 - TERMINATION

We may terminate or suspend your access to the Services, cancel your account, or refuse future transactions at any time, with or without notice, for any reason, including suspected fraud, abuse, chargeback activity, prohibited use, or violation of these Terms.

Termination will not affect any rights or obligations that accrued before termination.

The following sections survive termination: Automotive Products, Fitment, Installation, Tuning, and Use; Digital Products; Intellectual Property; Privacy; Feedback; Disclaimer of Warranties; Limitation of Liability; Indemnification; Governing Law; and any other provisions that by their nature should survive.

SECTION 17 - DISCLAIMER OF WARRANTIES

THE SERVICES, ALL CONTENT PROVIDED THROUGH THE SERVICES, AND ALL PRODUCTS AND SERVICES OFFERED BY RED 5 GARAGE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, EXCEPT AS EXPRESSLY STATED BY RED 5 GARAGE IN WRITING.

TO THE FULLEST EXTENT PERMITTED BY LAW, RED 5 GARAGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT PRODUCT DESCRIPTIONS, FITMENT GUIDANCE, TECHNICAL CONTENT, OR OTHER INFORMATION PROVIDED THROUGH THE SERVICES WILL BE COMPLETE, ACCURATE, OR SUITABLE FOR YOUR SPECIFIC APPLICATION.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE DISCLAIMERS MAY NOT APPLY TO YOU.

SECTION 18 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, RED 5 GARAGE, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SERVICE PROVIDERS, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF USE, LOSS OF BUSINESS, DIMINUTION IN VALUE, VEHICLE DAMAGE, ENGINE DAMAGE, DRIVETRAIN DAMAGE, TOWING COSTS, LABOR COSTS, MISSED EVENTS, DOWNTIME, OR REPLACEMENT COSTS, ARISING OUT OF OR RELATING TO THE SERVICES OR ANY PRODUCTS OR SERVICES PURCHASED THROUGH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR ANY PRODUCT PURCHASED THROUGH THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO RED 5 GARAGE FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

SECTION 19 - INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Red 5 Garage, its owners, officers, directors, employees, agents, contractors, service providers, licensors, and suppliers from and against any claims, damages, liabilities, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  1. your violation of these Terms,
  2. your misuse of the Services,
  3. your violation of any law or the rights of a third party,
  4. your installation, tuning, modification, resale, export, or use of any product purchased through the Services.

SECTION 20 - SEVERABILITY

If any provision of these Terms is found unlawful, void, or unenforceable, that provision shall be enforced to the fullest extent permitted by law, and the remaining provisions shall remain in full force and effect.

SECTION 21 - WAIVER; ENTIRE AGREEMENT

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

These Terms, together with our Privacy Policy, Refund Policy, and any other policies posted on the Services, constitute the entire agreement between you and Red 5 Garage regarding your use of the Services and supersede all prior communications or agreements regarding the same subject matter.

SECTION 22 - ASSIGNMENT

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent.

We may assign, transfer, or delegate our rights and obligations under these Terms at any time without notice to you.

SECTION 23 - GOVERNING LAW AND VENUE

These Terms and any dispute arising out of or relating to the Services or any transaction with Red 5 Garage shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict of law principles.

To the extent permitted by law, any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Colorado, and you consent to the personal jurisdiction and venue of those courts.

SECTION 24 - CHANGES TO THESE TERMS

We reserve the right to update, modify, or replace these Terms at any time by posting an updated version on the Services. The “Last updated” date will reflect the effective date of the current version.

Your continued use of the Services after revised Terms are posted constitutes your acceptance of the updated Terms, to the extent permitted by law.
